Vitesse schedules 2011 Shareholder Meeting

A new 8K released today states that Vitesse will hold their 2011 annual shareholders meeting on January 19, 2011.

Stockholder proposals are to be received by November 20, 2010.

Alright, what are OUR proposals?

I would suggest that we begin to submit targeted proposals towards the Management of the Company to expand SH Value.

OR - to mandate that Management make Relisting a high priority

OR - to make removing the WB Debt a high priority

Realizing that none of these would be BINDING it still would be an outstanding way to make SH intent/discontent PUBLIC

I think any/all of the above are good Stabob, though I gotta say that press release sounded almost......what's the word......confident...... in it's tone.

Like they might actually be on track to become normal.

Of course, I take a back seat to no one in delusional thinking.

Here is my 2 cents:

In todays world managment has no regard for shareholders. a shareholder is simply one of the many "stake holders" in the company. The others being employees, vendors,customers.

Management has forgotten that they have one and only one responsibility, increase the the value of the company (i.e. stock price).

I would favor some proposal like this.

For the CEO and starting from the date of his employment (or from the date of the initiation of a proposal like this),

1. VTSS must show a profit on the income statement line "net income available to common" in 3 of 5 years.

2. VTSS common stock must trade higher than the price on the closing date of the month in which the CEO is first hired for 31 of the first 60 months of employment as measured by the trading price on the last trading day of each month.

3. The CEO is terminated on the first month following the date where the accomplishment of both of these two targets is a mathmatical impossibility.

It’s an odd thing to do, for this company at least. On the one hand, the pessimistic hand, it’s what you might do if things are going to be really bad come 10K filing time, and they just want to have another meeting like last May, quick and dirty, get it behind them, approve CG’s contract and another R/S, which gives them another year before they can be held accountable again.

On the other hand, it’s the sort of thing you might do if the Q4 results will be good enough to get relisted in early Jan without another R/S, something even this company should have a good feeling for three weeks after the end of the fiscal year. Goes double if the accounting deficiencies will have been cleared and maybe even WB refinanced. CEO goes for a five year contract and a ton of options and nobody bats an eye because VTSS is finally out of the toilet.

The November cut-off date for questions gives me a bad feeling – that will still be 2-3 weeks before the 10K is released. I know they need time to print the proxies, but they could have held the meeting Feb 19th instead. I smell a rat.

Perhaps, just perhaps they are now on the up and up, doing what's best for all involved. Lets roll with the "on the other hand,it's the sort of thing you might do if the Q4 results will be good enough to get RE-enlisted..."

I nominate that the proposal written by dlog be sent to Vitesse.

To date, the Vitesse management team has done NOTHING credible. I do not like to sound like a broken record but again this management team has diminished the shareholders value of shares considerably over the years. If we are now on a path of positive results then let's start to see some of those results in a physical form.

Vitesse is hosting the next FSAN meeting. Never heard of FSAN before today, don't care now that I know but will note a whole lot of major players are listed in the membership.

Could we be getting near to PUMPTASTIC time?

Oh baby.

This company has always been pretty well respected in the business and IF the other crap is cleared up this is a good way to show Vitesse still is. Rising sales would also help.

A lot of trading opprotunnities for shares in IRA's if we see an upward path.

Alcatel/lucent is on a world tour peddling its products and solutions; Vitesse has over 90 possible customers in its back yard for a few days. talk about a kid in a candy store, GITTEM Perna!!!!
Altrfan as Vtss investors we should care because this all works to bring Vitesses PON ideas to life sooner than not. I look for the FTTx EcoSystem venture to start ringing $$$$ early next year.

if you look around the forum you will see that there are multiple responses regarding the most recent 2011 shareholders meeting.

The topics: "Annual meeting" and "The Question" both have responses from individuals who have attended the meeting.

Usually the report the results of the vote the next day but no announcement has come out
